Lawful Use
Customer represents, warrants and undertakes that it shall only use the Services and Software for lawful purposes and in accordance with the Sales Contract, these Policies and all applicable laws.
Prohibited Activities
Customer agrees not to use the Services and/or Software for illegal purposes, transmission of unlawful material, spam, phishing, malicious code, unauthorized access attempts, or activities that may damage or disrupt the Services.
Personal Data & GDPR
Data Processing
For the purpose of and during the delivery of the Services to Customer, Doy shall act as Data Processor. The Customer remains the Data Controller with regard to the processing of Personal Data.
Data Storage
The Customer’s data is stored and processed exclusively within the Netherlands or Europe on Doy’s infrastructure and Software in Data Centers located in the Netherlands or in the European Union.
Security & Confidentiality
Doy ensures that any persons authorized by Doy to process Personal Data have committed themselves to confidentiality and appropriate security obligations.
Fees & Payment
Invoices
Unless specified otherwise in the Sales Contract, all invoices sent by Doy to Customer are payable within fourteen (14) days from the invoice date.
Price Adjustments
Doy is entitled to increase Fees for annual automatic price indexation with a maximum increase of five percent (5%) or the applicable CPI increase.
Late Payments
If Customer does not pay an invoice within the Payment Term, Doy will be entitled to charge interest and may hand the matter over to an external collection agency.
Suspension of Services
Right to Suspend
Doy shall be entitled to immediately suspend the provision of Services and/or access to the Software in the event of non-payment, breach of policies, unlawful activities, or violation of applicable laws.
Maintenance
Doy reserves the right to suspend the Services in order to perform Maintenance and may perform emergency maintenance without prior notice when required.
Warranties & Liability
Limited Warranty
The Services and Software are provided in accordance with applicable laws and industry practices. Doy does not warrant that the Services or Software will be error free or uninterrupted.
Limitation of Liability
Neither Party shall be liable for indirect or consequential damages, including loss of profits, loss of revenue, loss of data, or business interruption.
Termination
Cancellation
The Sales Contract may be cancelled by either Party in accordance with the notice periods and procedures described in the General Terms and Conditions.
Immediate Termination
Doy is entitled to terminate the Sales Contract with immediate effect in cases including repeated policy violations, unlawful activities, non-payment, or material breach of the Sales Contract.
